Terms of Service
These Terms govern your access to and use of Hayai. Please read them carefully.
1. Acceptance
By creating an account or using Hayai (the “Service”), you agree to these Terms of Service and to our Privacy Policy. If you do not agree, do not use the Service.
2. The Service
Hayai is a single-user, browser-based markdown notes application with linking, tasks, search, and file storage. The Service is provided on an ongoing, best-effort basis and may change over time.
3. Your account
You are responsible for safeguarding access to your account and for all activity under it. You must provide accurate registration information and be at least 16 years old (or the age of digital consent in your jurisdiction).
4. Your content
You retain all rights to the notes and files you create or upload (“Your Content”). You grant us only the limited rights needed to store, process, and display Your Content back to you in order to operate the Service.
You are responsible for Your Content and must have the rights to store it. You must not upload unlawful material or use the Service to infringe others' rights.
5. Acceptable use
Do not misuse the Service: no unlawful, infringing, or malicious content; no attempts to breach security, disrupt the Service, or access other users' data; no automated abuse that degrades the Service for others.
6. Plans, billing, and cancellation
The Service offers a free plan with usage limits and a paid Pro plan that lifts those limits. Pro is offered at $6.99/month or $4.99/month billed annually (prices may change with notice).
Payments are handled by Stripe via Clerk Billing. Subscriptions renew automatically until cancelled. You can cancel at any time from your account; access to Pro continues until the end of the current billing period.
Except where required by law, payments are non-refundable. We do not provide refunds for partial billing periods.
7. Data export and deletion
You can export your data at any time and delete your account from within the app. Deleting your account permanently removes your content, as described in the Privacy Policy.
8. Availability and changes
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features. We will give reasonable notice of material adverse changes where practicable.
9. Disclaimer of warranties
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, to the maximum extent permitted by law. You are responsible for keeping your own backups of important data (the export feature is provided for this purpose).
10. Limitation of liability
To the maximum extent permitted by law, Hayai shall not be liable for any indirect, incidental, or consequential damages, or for loss of data, arising from your use of the Service. Nothing in these Terms limits liability that cannot be limited by law.
11. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate access if you breach these Terms or use the Service unlawfully.
12. Governing law
These Terms are governed by the laws of the operator's place of establishment. The specific governing law and venue should be set with legal advice before launch.
